These Terms and Conditions govern the use of services provided by Dr. Marcia Batiste, d/b/a Dr. Marci Batiste, and MARCI BATISTE HOLDINGS, LLC D/B/A The Compass for Change ("we," "our," or "us"). By engaging our services, attending training or workshops, or using our website, you ("Client" or "User") agree to these Terms and Conditions. Please read them carefully.

1. Services

We provide consulting, training, and advisory services that focus on operational efficiency, workplace culture, leadership development, personal and professional development, and wellness counseling. Specific services will be outlined in a written agreement between us and the Client.

2. Payment Terms

Payment for services must be made in accordance with the terms specified in the written agreement or invoice.
Late payments will incur a fee of 10% of the total outstanding balance.
We reserve the right to suspend or terminate services in the event of non-payment.

3. Intellectual Property and Presentation Guidelines

All materials, resources, and intellectual property provided during our services, trainings, or workshops remain the exclusive property of Dr. Marci Batiste and The Compass for Change.
Unauthorized reproduction, distribution, or recording of any materials, presentations, or workshops is strictly prohibited.
Reproduction of materials, presentations, or workshops is only permitted with prior written approval and appropriate licensure, which will be outlined in the contract.
Dr. Marcia Batiste, Dr. Marci Batiste, and MARCI BATISTE HOLDINGS, LLC D/B/A The Compass for Change retain full copyrights and ownership of all intellectual property and materials developed.

4. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
This confidentiality obligation survives the termination of this agreement.

5. Photos, Videos, and Media Usage

By attending a training, workshop, or engaging in our services, you understand that photos and videos may be taken during the event.
Your attendance grants us the right to use your image and likeness for marketing and promotional purposes, including print media, social platforms, and videos. Recordings may also be used for training or promotional purposes.
If you do not want your image or likeness used, you must notify us in writing prior to the start of the event.

6. Indemnification and Hold Harmless Clause

Clients agree to indemnify, defend, and hold harmless Dr. Marcia Batiste, a/k/a Dr. Marci Batiste, and MARCI BATISTE HOLDINGS, LLC D/B/A The Compass for Change, and all Associates, Partners, Employees, and Volunteers affiliated with these entities from any claims, damages, or expenses arising from:

The misuse of our services or materials.
The Client's failure to comply with applicable laws or regulations.
Any third-party claims related to the Client’s use of our services or reliance on our advice.
Results are dependent on the Client's execution of the provided guidance and may vary based on factors outside our control.

7. Applicability to Hiring Organization and Employees

These terms and conditions apply to the hiring organization as well as any individual employees or participants in services, training, or workshops provided by us.

8. Termination

Either party may terminate the agreement with written notice as specified in the service agreement.
Upon termination, all outstanding fees must be paid, and all proprietary materials must be returned or destroyed as directed by us.

9. Governing Law

These Terms and Conditions are governed by the laws of the State of Arizona. Any disputes arising from this agreement will be resolved in courts located in Arizona.

10. Force Majeure

We are not liable for delays or failure to perform services due to circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, or government actions.

11. Entire Agreement

These Terms and Conditions, along with any signed agreements, constitute the entire understanding between the Client and us, superseding all prior discussions or agreements.

Return and Refund Policy

At MARCI BATISTE HOLDINGS, LLC D/B/A The Compass for Change, we are committed to delivering high-quality consulting, training, and advisory services. We understand that circumstances may change, and we strive to address refund requests in a fair and transparent manner.

1. Refund Eligibility

Refunds are considered under the following conditions:

Prepaid Services: If a Client cancels services before work has commenced, a full or partial refund may be issued based on the timing of the cancellation and any preparatory work completed.
Workshops and Training Events: Refunds are available for cancellations made in writing at least [Insert Number] business days prior to the event.
Digital Products and Materials: Refunds are not provided for downloaded materials or digital products due to their non-returnable nature.

2. Non-Refundable Fees

The following are non-refundable:

Payments for services rendered and completed.
Deposits or retainers made to secure dates or projects unless otherwise stated in the signed agreement.

3. Partial Refunds

If services are canceled after work has commenced, a partial refund may be issued at our discretion. The refund amount will reflect the proportion of work completed and any non-recoverable expenses incurred.

4. No Refunds for Results

Refunds will not be provided based on dissatisfaction with results, as outcomes depend on the Client’s implementation of recommendations and strategies. Results vary and are subject to factors beyond our control.

5. How to Request a Refund

To request a refund, please contact us at info@thecompassforchange.com with the following information:

Your name and organization.
Details of the service, workshop, or event.
Reason for the refund request.

Refund requests will be reviewed within 7 days, and approved refunds will be processed within 48 hours of approval.

6. Amendments to the Refund Policy

We reserve the right to update or amend this refund policy at any time. Any changes will be posted on our website and will take effect immediately.
